What Is the Connection Between UAE Corporate Tax and a Tax Residency Certificate?
UAE Corporate Tax and Tax Residency Certificate (TRC): How They Differ and How They Work Together
The UAE attracts entrepreneurs, investors and multinational groups with its business-friendly environment, trade links and wide network of double taxation agreements. Two concepts come up again and again for companies that operate across borders: UAE corporate tax and the Tax Residency Certificate (TRC). They are related, but they do different jobs, and confusing them can lead to compliance gaps or rejected treaty claims.
Quick answer: Corporate tax decides what a business must register, report and pay in the UAE. A TRC is official evidence of UAE tax residency, mainly used to support claims under a double taxation agreement (DTA) abroad. A TRC does not replace corporate tax registration or filing, and it does not reduce UAE corporate tax.
| UAE corporate tax | Tax Residency Certificate | |
|---|---|---|
| Purpose | Tax on taxable income in the UAE | Proof of UAE tax residency |
| Issued or administered by | Federal Tax Authority (FTA) | FTA |
| Main use | Registration, returns, payment | Treaty claims and other residency evidence |
| Reduces UAE tax? | Not applicable | No |
| Replaces the other? | No | No |
What Is UAE Corporate Tax?
UAE corporate tax is a federal tax on the taxable income of businesses, applying to financial years beginning on or after 1 June 2023. The main rates are:
- 0% on taxable income up to AED 375,000
- 9% on taxable income above AED 375,000 (only the excess is taxed at 9%)
- 0% on qualifying income of a Qualifying Free Zone Person, if all conditions are met
- 15% top-up tax for in-scope multinational groups (see below)
For example, a company with AED 900,000 of taxable income pays 0% on the first AED 375,000 and 9% on the remaining AED 525,000, which is AED 47,250.
Who must register and file
UAE-incorporated companies generally fall within the regime, and foreign companies can be taxable if they have a permanent establishment in the UAE. Natural persons doing business must register if their business revenue exceeds AED 1 million in a calendar year, and salary, private investment income and real estate investment income are excluded from that calculation.
Registration with the FTA through EmaraTax is free of charge, but a late registration attracts an administrative penalty of AED 10,000, subject to a waiver initiative with conditions. Returns are generally due nine months after the end of the tax period. For example, the FTA set 30 September 2026 as the deadline for the financial year ended 31 December 2025.
Small Business Relief now runs to 2029
Eligible resident businesses with revenue of AED 3 million or less can elect Small Business Relief and be treated as having no taxable income for the period. The Ministry of Finance extended the relief to tax periods ending on or before 31 December 2029, so older articles saying 2026 is the last year are out of date. The AED 3 million threshold and other conditions did not change. Qualifying Free Zone Persons cannot elect the relief, and revenue above the threshold in any earlier period can disqualify a business from later periods.
The 15% top-up tax for large groups
Under the UAE’s Domestic Minimum Top-up Tax, multinational groups with consolidated revenue of at least EUR 750 million in two of the four preceding fiscal years can face a top-up tax for fiscal years beginning on or after 1 January 2025. The FTA has issued a guide on scope and registration for these groups. Most SMEs are not affected, but group companies should confirm their position.
What Is a Tax Residency Certificate?
A TRC is an official certificate issued by the FTA to eligible applicants who are tax resident in the UAE. The FTA’s TRC service page explains that it can be issued for two purposes:
- For a DTA, so the holder can claim treaty benefits in the other country.
- For purposes other than a DTA, where residency evidence is needed for another reason.
Double taxation occurs when two countries tax the same income. Treaties can reduce withholding tax or give relief, depending on the agreement and the type of income. You can check the UAE’s treaty partners on the Ministry of Finance International Treaties Dashboard.
A TRC does not guarantee treaty benefits. The foreign authority applies its own treaty conditions and may ask for more documents.
How Corporate Tax and the TRC Connect
Both depend on residency, but the tests are not identical. Being a Resident Person for corporate tax purposes does not automatically mean a company is a UAE Tax Resident for treaty purposes. The FTA explains the distinction in its guide, Tax Resident and Tax Residency Certificate (TPGTR1).
In practice:
- A corporate tax registration number can reduce the TRC fee and pre-fill your application.
- If you apply for a DTA certificate without a corporate tax TRN, the other country may still require you to be registered for UAE corporate tax.
- Holding a TRC never removes your duty to register, file and pay corporate tax.
Who Can Apply for a TRC?
According to the FTA, eligibility depends on the applicant type:
- Companies must have been incorporated or established for at least 12 months. Branches of foreign companies and offshore companies are not eligible, because they are not considered established in the UAE.
- Individuals are assessed under residency tests such as days spent in the UAE (183 days or more, or 90 to 182 days with proof of UAE employment, business or permanent residence), or primary residence and centre of interests.
- Corporate Tax Group members apply individually, because the group itself is not a legal entity.
A TRC covers a tax period or a 12-month period chosen by the applicant. It cannot cover a future period or more than 12 months. Companies can apply once they are three months into the relevant period, or at any time after it ends.
Documents Usually Required
The FTA says its updated service card prevails if anything differs, so always check the latest list. For a company, the FTA lists:
- Valid trade licence and lease agreement
- Certificate of Incorporation
- Memorandum of Association (certified, for DTA applications)
- Corporate tax TRN, if available
- Authorised signatory’s Emirates ID and passport, with proof of authorisation
- Proof of effective management and control in the UAE, where applicable
For a DTA certificate, the other country’s treaty may require extra evidence. Keep company names, licence details and registration data consistent across all documents, because mismatches are a common cause of delays.
Fees and Processing Time
These are the fees shown on the FTA service page (last updated 22 October 2026). They are non-refundable if the application is rejected.
| Item | Fee |
|---|---|
| Submission fee (all applicants) | AED 50 |
| Review and issuance, registered with FTA (corporate tax TRN) | AED 500 |
| Review and issuance, individual not registered with FTA | AED 1,000 |
| Review and issuance, company not registered with FTA | AED 1,750 |
| Each hard copy | AED 250 |
The FTA aims to complete a complete application within ten business days. If you need the FTA to stamp a foreign tax form, you can request that in the same application.
How to Apply: Step by Step
- Log in to EmaraTax with UAE PASS and open the Tax Residency Certificate service.
- Select your corporate tax TRN if you have one.
- Choose DTA purposes (and the country) or other purposes.
- Complete the form and upload the supporting documents.
- Pay the fees and submit.
- Download the certificate once approved, and verify it through the FTA’s online verification page if needed.
Does a TRC Reduce UAE Corporate Tax?
No. A TRC supports residency claims, mainly abroad. Your UAE tax liability is worked out separately under the Corporate Tax Law, including exemptions, reliefs and free zone rules. A TRC also does not give you the 0% rate. That comes from the AED 375,000 band, Small Business Relief or qualifying free zone status, each with its own conditions.
Common Mistakes to Avoid
- Treating corporate tax registration and the TRC as the same thing.
- Assuming every UAE company automatically gets treaty benefits.
- Applying before a company has existed for 12 months.
- Applying for a future period or a period longer than 12 months.
- Using a branch or offshore company as the applicant.
- Submitting inconsistent company details across documents.
- Forgetting foreign-country forms and requirements, which apply even after a TRC is issued.
- Missing corporate tax filing deadlines because a TRC or relief has been obtained.
- Relying on outdated advice about Small Business Relief ending in 2026.
How Professional Tax Support Helps
Corporate tax compliance and TRC applications involve UAE law, FTA procedures and sometimes foreign treaty rules. An adviser can check your registration status, prepare returns, review your TRC documents and flag whether a treaty claim needs further analysis. Almalia Consulting FZCO supports UAE businesses with corporate tax registration, filing and advisory, so you can review your position with a qualified adviser before applying for a TRC or claiming treaty relief.
Frequently Asked Questions
Is a TRC the same as corporate tax registration?
No. Registration puts you on the FTA’s corporate tax system, while a TRC is evidence of residency for a chosen period.
Do I need corporate tax registration before applying for a TRC?
Not always, but having a corporate tax TRN lowers the fee, and the foreign country may require it for treaty claims.
How long does a TRC cover?
A tax period or a selected 12-month period, never a future period.
Can a free zone company get a TRC?
Qualifying UAE-established entities can, if they meet the FTA’s requirements.
Does a TRC guarantee lower withholding tax abroad?
No. The foreign authority applies the treaty and may ask for more evidence.
Conclusion
UAE corporate tax and the TRC work side by side but answer different questions. Corporate tax sets your registration, filing and payment duties in the UAE. A TRC proves residency so you can seek treaty relief elsewhere. With rules such as Small Business Relief and the top-up tax changing, check current FTA guidance before you file, apply or claim relief.
